Terms of Service

1. Agreement to Terms

By accessing or using ProRev ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users, including retailers, brands, suppliers, and any other visitors or users of the Service.

2. Description of Service

ProRev is a multi-tenant SaaS platform that provides:

• Product review collection and management
• AI-powered content moderation using OpenAI technology
• Analytics and insights across stores and products
• Cross-tenant review aggregation (Premium tier)
• Supplier portal for brand insights
• API integration for review submission and retrieval

3. Account Registration

3.1 Account Creation

To use ProRev, you must:

• Provide accurate, current, and complete information
• Be at least 16 years of age
• Have legal authority to bind your organization
• Maintain the security of your account credentials

3.2 Account Types

• Retailer Accounts: For e-commerce stores and retail businesses
• Supplier Accounts: For brands and manufacturers
• System Admin: For ProRev administrative access

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your password and API keys
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Subscription and Billing

4.1 Subscription Tiers

• Free Tier: Up to 100 reviews/month, tenant-level analytics only
• Premium Tier: $49/month - Unlimited reviews, global analytics, cross-tenant insights
• Enterprise Tier: Custom pricing with dedicated support and SLA
• Supplier Access: $99/month - Aggregated insights across all retailers

4.2 Payment Terms

• Subscriptions are billed monthly in advance
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days notice
• Failed payments may result in service suspension

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree NOT to:

• Submit fake, fraudulent, or incentivized reviews
• Abuse our API or attempt to bypass rate limits
• Reverse engineer or attempt to extract source code
• Use the Service for illegal purposes
• Violate any applicable laws or regulations
• Interfere with the Service's security features
• Transmit malware, viruses, or harmful code
• Share your account credentials or API keys

5.2 Review Content Standards

Reviews submitted through your integration must:

• Be authentic and from real customers
• Not contain spam, promotional content, or advertising
• Not violate third-party intellectual property rights
• Comply with applicable consumer protection laws

6. Data Ownership and License

6.1 Your Data

You retain ownership of all data you submit to ProRev, including product information and customer reviews. You grant us a license to process, store, and display this data as necessary to provide the Service.

6.2 Aggregated Data

We may use anonymized, aggregated data for:

• Cross-tenant analytics (Premium feature)
• Service improvement and research
• Industry benchmarking and reports

6.3 Data Export

You can export your data at any time through our API or dashboard. Upon account termination, we will provide a final data export within 30 days if requested.

7. AI Moderation and Processing

By using ProRev, you acknowledge that:

• Reviews are processed using OpenAI's AI technology for moderation
• AI moderation may not catch all inappropriate content
• You remain responsible for final review approval
• We may improve our AI models using anonymized review data

8. Service Availability and Support

8.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

8.2 Support

• Free Tier: Email support, best-effort response
• Premium Tier: Priority email support, 24-hour response time
• Enterprise Tier: Dedicated account manager, SLA guarantees

9. Intellectual Property

The ProRev platform, including all software, designs, logos, and trademarks, is owned by ProRev and protected by copyright and intellectual property laws. You may not copy, modify, or distribute our platform without written permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ProRev is provided "AS IS" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to fees paid in the last 12 months
• We are not responsible for third-party content or services

11. Indemnification

You agree to indemnify and hold ProRev harmless from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Content you submit or allow to be submitted
• Your violation of any third-party rights

12. Termination

12.1 By You

You may terminate your account at any time through the dashboard settings or by contacting support.

12.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your payment fails
• Your account is inactive for over 12 months (Free tier)
• We discontinue the Service (with 60 days notice)

13. Governing Law

These Terms are governed by the laws of Norway. Any disputes shall be resolved in Norwegian courts. If you are a consumer in the EU, you retain protections under local consumer laws.

14. Changes to Terms

We may update these Terms at any time. Material changes will be notified via email or dashboard notification at least 30 days in advance. Continued use after changes constitutes acceptance.
